These Terms of Service ("Terms") are a legal agreement between you and Cortex AI LLC ("Cortex AI," "we," "us," or "our") governing your use of our website, applications (including BrickFolio, MemoryTrail, and any future products we publish), and related services (collectively, the "Services").
By using the Services, you agree to these Terms. If you don't agree, please don't use the Services.
1. Eligibility
You must be at least 13 years old — or the minimum age of digital consent in your jurisdiction — to use the Services. By using the Services, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.
2. Your account
Some features require an account. You are responsible for:
- Providing accurate information when creating your account.
- Keeping your credentials secure.
- All activity that happens under your account.

3. Your content
You retain all rights to the content you create, upload, or store with the Services ("Your Content"). We don't claim ownership of Your Content.
You grant us a limited, worldwide, royalty-free license to host, copy, transmit, display, and process Your Content solely as needed to operate and improve the Services for you — for example, to sync across your devices, generate AI-assisted output you request, or create backups. This license ends when you delete Your Content or your account, except for copies we must retain for legal or backup reasons for a limited time.
You are responsible for Your Content and represent that you have the rights necessary to submit it.
4. Acceptable use
You agree not to:
- Break the law or violate anyone's rights while using the Services.
- Upload malicious code, viruses, or content that infringes others' intellectual property.
- Attempt to probe, scan, reverse-engineer, or disrupt the Services beyond what's permitted by law.
- Use the Services to harass, defraud, or harm others.
- Scrape, resell, or redistribute the Services or their output without permission.
- Use the Services to train competing AI models without a written agreement with us.
- Interfere with security features, rate limits, or access controls.
We may suspend or terminate accounts that violate these rules.
5. AI-generated output
Some Services use AI to generate text, images, 3D geometry, recommendations, or other output ("Output"). Because AI systems are imperfect:
- Output may be inaccurate, incomplete, or offensive. Review it before relying on it.
- Similar prompts may produce similar output for different users. We don't guarantee uniqueness.
- You are responsible for how you use Output, including whether your use is lawful and accurate in your context.
Subject to your compliance with these Terms, we assign to you whatever rights we have in Output generated from your prompts and inputs, to the extent such rights exist.
6. Fees, subscriptions, and refunds
Some Services or features are paid. Pricing, billing cycles, and renewal terms are shown at the point of purchase. Unless stated otherwise:
- Subscriptions auto-renew until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
- Payments are non-refundable except where required by law or where we expressly offer a refund.
- Purchases made through a platform store (e.g., Apple App Store) are governed by that platform's refund and billing policies.
7. Third-party services
The Services may interoperate with third-party services (app stores, identity providers, model providers, payment processors). Your use of those services is governed by their own terms and privacy policies. We aren't responsible for third-party services.
8. Intellectual property
The Services, including our software, design, logos, and trademarks, are owned by Cortex AI LLC or our licensors and are protected by intellectual-property laws. These Terms don't transfer any rights in our intellectual property to you, except the limited right to use the Services as described here.
We welcome feedback. If you send us suggestions, you grant us a perpetual, royalty-free license to use them without obligation.
9. Beta and preview features
We may label certain features as "beta," "preview," "alpha," or similar. Those features are provided as-is, may change or be removed at any time, and may be less reliable than generally available features.
10. Termination
You may stop using the Services at any time and delete your account from within a product or by contacting us. We may suspend or terminate your access if you breach these Terms, if we reasonably believe your use poses a risk to others or to the Services, or if required by law. We'll give you notice where practical.
Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and dispute terms) will survive.
11. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or accuracy of AI Output. To the maximum extent permitted by law, we disclaim all such warranties.
12. Limitation of liability
To the maximum extent permitted by law, Cortex AI LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to your use of the Services. Our total liability for any claim arising out of or related to the Services is limited to the greater of (a) the amount you paid us for the Service giving rise to the claim in the 12 months before the claim, or (b) one hundred U.S. dollars (US$100).
13. Indemnification
You agree to defend, indemnify, and hold harmless Cortex AI LLC from and against any claims, damages, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Services in violation of these Terms, (b) Your Content, or (c) your violation of any law or of the rights of a third party.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction — except where mandatory local law gives you a non-waivable right to sue in your home jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you in-product or by email. Continued use of the Services after the change takes effect means you accept the revised Terms.
16. Miscellaneous
These Terms, together with any product-specific terms and our Privacy Policy, are the entire agreement between you and Cortex AI regarding the Services. If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger or sale.
